These Affiliate Program Terms and Conditions (the "Agreement") govern participation in the StorePilot Affiliate Program (the "Program"), operated by GMN Marketing LLC, a Wyoming limited liability company ("GMN," "we," "our," or "us"). By joining or participating in the Program, you ("Affiliate," "you," or "your") agree to comply with and be legally bound by these Terms.

1. Acceptance of Terms

By registering for the Program, you confirm that you have read, understood, and agreed to these Terms. If you are acting on behalf of a company or organization, you represent that you have authority to bind that entity to this Agreement.

2. Definitions

1. "Program" means the StorePilot Affiliate Program operated by GMN Marketing LLC.

2. "Shopify Affiliate Commission" means the payout Shopify provides for approved referrals through the Impact.com platform, as publicly listed in Shopify's affiliate earnings guide.

3. "Qualified Referral" means a new Shopify store owner referred through your StorePilot affiliate link who converts to a paid Shopify plan after the trial period (minimum 3 months of active use).

4. "Affiliate Dashboard" means the StorePilot online dashboard used to track referral activity and commissions.

5. "Commission" means the payout owed to the Affiliate under this Agreement.

3. Program Overview

The StorePilot Affiliate Program allows approved affiliates to promote StorePilot and refer new Shopify users via the StorePilot platform. StorePilot is an independent app that helps users build AI-generated Shopify stores and product pages.

You may promote StorePilot on your website, blog, social media, or through video tutorials and reviews, as long as your promotional content accurately represents StorePilot and does not mislead users.

4. Commission and Payout Terms

4.1 Commission Basis

Affiliates earn a commission equal to 50% of the total Shopify affiliate payout (through Impact) for each Qualified Referral. Commissions can increase up to 80% based on volume and performance at GMN's discretion.

4.2 Country-Specific Payouts

Commissions vary by country according to Shopify's Impact commission table. For example:

1. United States: $150 per qualified Shopify store → Affiliate earns $75 (50%).
   Full rates are publicly available in Shopify's official documentation.

4.3 Qualification Criteria

A referral is considered qualified when:

1. The referred user signs up through your unique StorePilot referral link.

2. The user creates a new Shopify store.

3. The store converts to a paid Shopify plan and remains active for at least 3 months.

4.4 Payout Schedule

1. Payouts are made monthly, following Shopify's own payout cycles via Impact.

2. Payments are processed via Wise or PayPal, provided you have met the $150 minimum payout threshold.

3. Commissions may be delayed if the referred Shopify payout is pending, refunded, or under fraud review.

4.5 Refunds and Chargebacks

If Shopify reverses or cancels its payout due to refund, chargeback, or policy violation, the related affiliate commission will be reversed as well.

5. Affiliate Responsibilities

5.1 Acceptable Promotion Channels

You may promote StorePilot through:

1. Your personal website, blog, or online community (including private or internal groups such as Telegram, WhatsApp, Discord, or course communities).

2. Social media platforms (e.g., TikTok, Instagram, YouTube, Facebook).

3. Tutorials, reviews, educational videos, or other content that accurately represents StorePilot.

4. Promotional content must always be honest, professional, and must not mislead users about StorePilot or potential earnings.

You may not:

1. Run search paid ads using the keywords "StorePilot," "PagePilot," "Store Pilot", "Page Pilot" or any brand variations.

2. Create fake or misleading claims (e.g., guaranteed Shopify earnings).

3. Use coupon, discount, or "get-paid-to-click" sites.

5.2 Compliance

You must comply with:

1. The Federal Trade Commission (FTC) guidelines on endorsements and disclosures.

2. All applicable advertising and data-protection laws.

5.3 Disclosure Requirement

Affiliates must clearly disclose that they receive a commission for referrals, as required under FTC guidelines.

6. Confidentiality

All non-public information regarding GMN Marketing LLC, StorePilot, or any affiliate commission structure is confidential. You may not disclose, copy, or share any payout information, internal dashboards, or performance metrics without written consent. This obligation survives termination of this Agreement.

7. Intellectual Property

All trademarks, names, logos, and creative materials related to StorePilot and PagePilot are the property of GMN Marketing LLC. Affiliates receive a limited, non-exclusive, revocable license to use approved StorePilot branding and media for promotional purposes. You may not alter logos, register similar domains, or imply ownership.

8. Termination

8.1 Termination by GMN

We may terminate your participation in the Program at any time, with or without cause, including for:

1. Misleading or deceptive promotion.

2. Fraud, self-referrals, or cookie stuffing.

3. Breach of these Terms or Shopify's affiliate policies.

8.2 Effect of Termination

Upon termination, all pending unpaid commissions may be forfeited if the termination was for cause. You must immediately stop using StorePilot branding and promotional materials.

9. Limitation of Liability

StorePilot and GMN Marketing LLC are not liable for any indirect, incidental, or consequential damages arising from participation in the Program. Our total liability will not exceed the total commissions paid to you within the last 6 months.

10. Modifications

We may modify these Terms or the commission structure at any time. Updated Terms will be posted in the affiliate dashboard or sent via email. Continued participation constitutes acceptance of any modifications.

11. Independent Contractor Status

You are an independent contractor, not an employee, agent, or partner of GMN Marketing LLC. You are responsible for all taxes arising from commissions paid under this Program.

12. Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Any dispute shall be resolved exclusively in the courts of Wyoming.

14. Entire Agreement

This Agreement constitutes the entire understanding between you and GMN Marketing LLC regarding participation in the StorePilot Affiliate Program and supersedes any prior agreements or communications.
